Zoom Automation Steps into Mozambique to Signs a Service Agreement with Gigawatt Mozambique @ MT 2,450,000.00 (Two Million, Four Hundred and Fifty Thousand Mozambican Meticais)


Gigawatt Moçambique, SA, a corporation incorporated under the laws of the Republic of Mozambique, with headquarters in the City of Maputo, with a registered capital of MT 50,000.00 (fifty thousand Meticais) registered in the Registry of Legal Entities under the NUEL 100002809, hereinafter referred to as “Employer” or “GW” represented in this agreement by Marco Mordado, acting as Chief Operations Officer of GW,


ZOOM AUTOMATION CC, a Private Company with limited Liability duly incorporated under the laws of the Republic of South Africa, with headquarters at Central Business District, Haiti Parking Area, Richards Bay, South Africa, with Company Registration number 2019/401599/07, hereinafter referred to as “Contractor” or “ZOOM” in this agreement represented by Shawn Mouton, as its [Director],

collectively known as the “Parties”,

agree, under the terms of the applicable legislation, to enter into this Consultancy Service Agreement for the provision of advisory, technical assistance, and training of GW staff on the Instrumentation and Control (I&C) systems of the GW Power Plant in Ressano Garcia, Mozambique, under the terms of the applicable legislation and subject to the following clauses and conditions:



Through this agreement is agreed that ZOOM will provide GW with advisory and technical assistance for the I&C systems of the GW Power Plant and that ZOOM will coach the relevant GW staff on the operation and maintenance of the I&C system.


Payment and disbursements

GW will reimburse ZOOM for travel cost to and from George in South Africa to Ressano Garcia in Mozambique every 3 month or at the beginning and the end of the term. Claim for reimbursements to be supported by documentary proof.

GW will provide company accommodation and 2 meals, as provided for all site staff, for the duration of the contract and will provide transport between site and the accommodation.

All other cost such as accommodation elsewhere, leisure travel, cellphone, and others not mentioned herein, will be for ZOOM own expenses.



The present agreement is entered for an initial period of 8 (eight) weeks, which can be extended by additional successive periods of 4 (four) weeks on written agreement between the parties, with a maximum duration of up to 6 (six) months with start at 1st of June of 2021 and with final term at 30th of November of 2021, but it might be terminated earlier by any of the Parties by giving 7 (seven) days written notice.


Applicable Legislation

ZOOM agrees to adhere to all the GW company rules, regulations and mandatory applicable legislation in force in Mozambique or that enters into force under the course of the present agreement. In case of dispute resolution, the Mozambican legislation shall apply.



Any alteration to the present agreement shall be made through amendments signed by both parties and shall constitute an integrated part of it.



The present agreement is made in two copies, both original and written in Portuguese and in English, being one with each signatory. In case of discrepancy, the English version shall prevail.
